SERVICE AGREEMENT

THIS FRANCHISE AGREEMENT is made and entered into at Mumbai on this date,
,BETWEEN:-

M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD”
a Company duly incorporated and registered under the provisions of the Companies Act 2013, having Corporate Identification Number
UIN U72900MH2021PTC371525 . having its business office at Shop no 21, Plot No 62, Ghrakul CHS LTD, Gorai No 1,
Near Swami Vivekananda School, Borivali West, Mumbai - 400092, Maharashtra, India
(Hereinafter called “THE FRANCHISOR”).

AND Ms/Mr/Smt/Miss:- age:-
years, residing at -

India (Hereinafter called “THE FRANCHISEE”)

    WHEREAS:-

  1. The Franchisor has been carrying on the business of placement in the name and style of ‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD”.
  2. The Franchisor is the registered owner of ‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD” as referred to above.
  3. Pursuant to the discussion between the parties, the Franchisor wishes to appoint the Franchisee of the business of Placement in India under the name and style of ‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD”

    IT IS HEREBY AGREED AND RECORDED AS FOLLOWS:-

  1. The FRANCHISOR hereby appoints the FRANCHISEE for the business of HR SOLUTIONS in the name and style of ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.”.

  2. The initial period of the present SERVICE AGREEMENT shall be for a period of year, commencing from and expiry on (till Gurukrupa live). If not terminated after expiry of the above period, by the mutual understating of both the parties to this agreement & may be extended for further period with the same process, in accordance with FRANCHISOR policy at that time.

  3. The FRANCHISEE has paid to the FRANCHISOR a lump sum FRANCHISEE compensation of Rs.(Rupees Only), by cheque (), Dated , Bank as the FRANCHISEE compensation not refundable in any conditions.

  4. To support the FRANCHISEE, the FRANCHISOR will pay 100% of FRANCHISOR's sharing portion of HR Services provided by the FRANCHISEE on the received amount till total amount paid towards franchisee compensation is received by the FRANCHISEE + interest + foreclosure charges (If on finance). Franchisee compensation paid by the FRANCHISEE cannot be adjusted from Instant pay-out terms + Recruitment (every month providing Company terms) sharing. On the last date of agreement period, if total franchisee compensation received the FRANCHISOR is less than the agreed amount, then remaining amount will be converted to FRANCHISOR's compensation, as FRANCHISEE has used FRANCHISOR's machinery.

  5. Portal – The FRANCHISOR can provide Job Portal login, if the FRANCHISEE demandds so. In Portal login, the FRANCHISEE has a rights to View Posting and Mails up to per year as included in the package and as per time to time intimated by the FRANCHISOR.

  6. The FRANCHISOR will provide Portal for years ( hours daily) to the FRANCHISEE.

  7. On demand, the FRANCHISOR can provide Posting, View, and Download, Mails, SMS or other Job portals on concessional rate. This amount will also be rreimbursed from Gurukrupa's end at % portion for your provided services upon receipt of payment of the same from client/s.

  8. The FRANCHISEE shall not share with any other Individual/ Company/ Consultant/ Third Party,your password and identifications.

  9. Job portal is not in the control of the FRANCHISOR. In case if portal doesn't work,the FRANCHISOR will not be held responsible.However, the FRANCHISOR will extend validity period of portal usage based on No of such occassions occurred.

  10. The FRANCHISEE shall not use the content for or send spams and /or any unsolicited emails for commercial or other purposes. In case of any such missuse of Job portal,the FRANCHISEE will be denied access to the same.

  11. If any Job portal is not meeting the FRANCHISEE's expectations & if the FRANCHISEE would require any other Job portal or if cost of existing allotted Job portal/s increases then in that case the FRANCHISEE will have to pay difference amount to the FRANCHISOR.

  12. Job Portal and This Service Agreement facilities for Franchisee only.


  13. The FRANCHISEE will at no time claim any right, title and interest on the name of ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” as same is the exclusive ownership of the FRANCHISOR.

  14. It is agreed by both parties that agreement will be cancelled or terminated if the FRANCHISEE fails to pay franchisee compensation of the FRANCHISOR as agreed upon.Without payment receipt of initial payment (bank statement),this agreement will not be valid.

  15. The FRANCHISEE shall be authorised to establish an office premises within India with support of the the FRANCHISOR under the name ’‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” and henceforth can also be called “ Branch Head” of that office.

  16. The FRANCHISEE shall be authorised to hire employees as per the branch office requirements and shall be authorised to issue an Appointment Letter as well as Experience Letter & Reliving Letter to its employees on behalf of ’‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” being the “ Branch Head” of the specific branch office.

  17. Service Agreement stands immediately cancelled in the event of breach of contract or illegal activities committed by the FRANCHISEE.

  18. The FRANCHISEE shall be authorised to put an end to this Service Agreement before expiry of its term by giving prior notice of at least 1 month to the FRANCHISOR.

  19. The FRANCHISOR shall be authorised to put an end to this Service Agreement by returning remaining proportionate amount to FRANCHISEE.

  20. The FRANCHISOR shall transfer % amount in terms of a Recruitment and 50% amount in terms of other HR Services out of received amount from the FRANCHISOR's Client company to the FRANCHISEE for their provided HR services to the FRANCHISOR's Client Company. The FRANCHISOR shall pay the receiving amount to the FRANCHISEE on same day or within seven days from receipt of such an amount either through a cheque or net banking, for providing HR Services to the Companies on the name of ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” (And in Recruitment on successfully completing secure period by the candidates in their respective Company).

  21. The FRANCHISOR shall provide Phone & Internet bill up to Rs.1,000/- once in a month from the FRANCHISOR's sharing portion of FRANCHISEE provided HR Services on receipt. Current month FRANCHISEE expenses can be adjusted. In first 100% agreement form, your provided other HR services profit will be equally divided after office rent, staff salary, office Light and phone bill. Above can't be adjusted from instant pay-out terms + Recruitment (every month providing Company terms)

  22. The FRANCHISOR shall provide 6% annual interest to the FRANCHISEE if payment is delayed for more than 7 days because of ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” calculated from the due date until the date of actual realization of the payment, to the FRANCHISEE. If such payment remains outstanding by the FRANCHISOR for a continuous period exceeding three (3) months, the FRANCHISEE shall have the sole and exclusive right to terminate this Agreement with immediate effect. Upon such termination, the FRANCHISEE shall be entitled to pursue recovery of the unpaid amount through appropriate legal remedies available under applicable law.

  23. The FRANCHISEE is authorised to follow up with the client for a Cheque/NEFT of their provided services with the name of Gurukrupa Placement & Education Solutions Pvt .Ltd.

  24. The FRANCHISOR shall not be hold responsible if candidate recruited by the FRANCHISEE leaves or ddon’t join the Company or the Client Company resulting into non payment of recruitment charges to the FRANCHISEE or if generalist & Recruitment assignments don't meet eexpectations of the FRANCHISEE.

  25. Both the parties agree that business information would be kept strictly confidential.

  26. It is mutually agreed between the parties that the FRANCHISEE shall not publish against any information/ print/ advertisement in newspaper or online in whatsoever manner in terms of the FRANCHISOR.

  27. It is mutually agreed by both the parties that the FRANCHISEE cannot remunerate charges from the candidates for recruitment / placement in whatsoever manner.

  28. The FRANCHISEE shall not use the name ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” for any illegal or unlawful purpose nor shall he part with the FRANCHISEE / facility to any other person/s or third party in any manner whatsoever.

  29. The FRANCHISOR shall not be made responsible for any omission or commission to commit by the FRANCHISEE.

  30. The FRANCHISEE shall have to follow the local laws while working under ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.”. FRANCHISOR shall not pay any penalty for illegal / unlawful activities carried out by the FRANCHISEE.

  31. Pursuant to the discussion between the parties, the FRANCHISOR wishes to appoint the “FRANCHISEE” of the business of HR Solutions under the name and style ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” with full business setup for betterment of HR Solutions business with good intention. In case, if the FRANCHISEE by any reason doesn't get results as per his/ her expectation, for that ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” will not be hold responsible.

  32. The FRANCHISEE can't provide direct services (by own name) to the ‘‘ M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT. LTD.” Client during the agreement period and after 12 month from the contact.

  33. In the event of any disputes or differences arise between the parties, the courts at Mumbai alone shall have jurisdiction to try and entertain the same.

  34. I have read entire content of the FRANCHISEE Agreement, and I agree that content written in the Agreement will only be followed.

  35. In 50% sharing form, only Recruitment work will be provided.

  36. The FRANCHISOR will provide minimum business of Rs 2 Lakhs per month or 24 Lakhs per year to the FRANCHISEE.

  37. In the event of insolvency, bankruptcy, or any other legal, financial, or contractual dispute arising between the FRANCHISOR and any third party, the FRANCHISEE shall not, in any manner whatsoever, be held liable or responsible for such matters.

  38. Neither party shall be held liable for any failure or delay in the performance of its obligations under this Agreement, if such failure or delay is due to any event beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, floods, earthquakes, storms, pandemics, epidemics, war, terrorism, civil unrest, strikes, lockouts, government actions, changes in law or regulations, or any other event of a similar nature (“Force Majeure Event”). The affected party shall notify the other party in writing of the occurrence of such Force Majeure Event within a reasonable period, stating the nature of the event, its expected duration, and the steps being taken to mitigate its effects.

  39. The FRANCHISOR shall provide branding support, including logo, visiting card design templates, and official letterhead formats to ensure uniformity of identity across all branches.

  40. The FRANCHISOR shall conduct periodic training programs, either online or in person, for the FRANCHISEE and their team to enhance recruitment and HR delivery capabilities, free of cost at least once a year.

  41. On demand the FRANCHISOR shall extend guidance to the FRANCHISEE for compliance with standard operational procedures and applicable labour, data, and corporate laws.

  42. The FRANCHISOR should updating and communicating policy changes, cost structures, or service offerings that affect the FRANCHISEE's operations within a reasonable time frame.

  43. The FRANCHISOR shall not directly engage with any client introduced or developed by the FRANCHISEE during the agreement term without FRANCHISEE’s written consent.
